Terms of Use

These Terms of Use (“Terms”) govern your access to and use of BuddyStall (the “Service”), an integrated store operations system. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Who We Are
BuddyStall is operated by an individual based in the Philippines (the “Operator”, “we”, “us”). You can contact the Operator at buddystallph@gmail.com. The Operator’s full legal name and registered address are available on request.
2. Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy. If you are using the Service on behalf of a business, you represent that you are authorized to accept these Terms on its behalf.
3. Description of the Service
The Service provides point-of-sale, inventory, expense tracking, attendance, payroll, analytics, and related tools for store owners and their staff, including an optional franchise feature. We may add, modify, or remove features at any time.
4. Accounts and Eligibility
- You must provide accurate and complete information when creating an account.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- You must be of legal age to enter into a binding contract in your jurisdiction.
- Accounts may have different roles (owner, manager, staff) with different access. You are responsible for the users and staff to whom you grant access.
5. Your Data and Responsibilities
You retain ownership of the business data you submit to the Service. You grant us a limited license to process that data solely to provide, secure, and improve the Service, as described in our Privacy Policy. Where you enter personal data about other people (such as employee names, wages, attendance, or payroll), you are the controller of that data: you are responsible for having a lawful basis to do so and for informing the individuals concerned. You agree not to submit data you are not authorized to provide.
6. Franchise Linkage and Authorization
If you are a store owner, you may choose to link your account to a franchise organization (a “Franchisor”). Linking is optional and controlled by you, and you can unlink at any time. By linking, you authorize us to share certain data with that Franchisor — including your name and email, your active stores’ names and map locations, aggregated sales information for franchise-branded products, and orders and recipe-compliance information — as described in our Privacy Policy. The Franchisor is an independent third party that acts as a separate controller for the data it receives and uses it under its own terms and policies. We are not responsible for a Franchisor’s handling of that data.
7. Subscriptions and Billing
Some features may require a paid subscription. We do not currently collect payment card details within the Service. If paid plans are introduced, billing may be handled through a third-party payment processor, and the applicable fees, billing cycles, and any free-trial or cancellation terms will be presented to you before you subscribe. Unless stated otherwise, fees are non-refundable, and you authorize the charging of recurring fees until you cancel.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorized access to the Service or its related systems or data.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, copy, or resell any part of the Service except as permitted by law.
9. Intellectual Property
The Service, including its software, design, and trademarks, is owned by the Operator and its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our branding without prior written permission.
10. Service Availability and Offline Use
The staff portal is designed to work offline and to synchronize data when connectivity is restored. You are responsible for completing synchronization and for the device on which the Service runs. We may perform maintenance and do not guarantee uninterrupted availability.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.
12. Limitation of Liability
To the maximum extent permitted by law, the Operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles.
